SoundThinking said on September 28, 2026 that it had agreed to be acquired by Transom Capital Group in a tender-offer transaction that could pay shareholders up to $11.00 per share in total consideration, including $8.00 in cash and a non-transferable contingent value right worth up to $3.00 per share.
SoundThinking said on September 28, 2026 that it agreed to be acquired by Transom Capital Group in a tender-offer transaction that could value the public-safety technology company at up to $11.00 per share. The proposed deal is not yet closed. It is structured as a tender offer for $8.00 per share in cash plus a non-transferable CVR worth up to $3.00 per share, for up to $11.00 per share in total consideration.
SoundThinking said the upfront cash portion implies about $114 million of enterprise value, rising to about $159 million if the maximum contingent value right is paid. Yahoo Finance described the transaction as implying a maximum-CVR value of about $159 million and said it would proceed as a tender offer followed by a second-step merger. A separate filing said the merger agreement was dated September 28, 2026 and named Transom Signal AcquireCo, LLC as parent and Transom Signal MergerSub, Inc. as the merger subsidiary.
What did SoundThinking say about going private?
SoundThinking said it believes becoming private with Transom would give it greater flexibility to support customers and pursue its mission. That is the company’s own forward-looking rationale for the transaction, not a completed outcome. In a customer letter filed with the SEC, SoundThinking also said nothing changes immediately and that it will remain a standalone company until closing. The company said it will continue offering its full suite of products and that existing contracts remain in force during the deal process.
SoundThinking describes itself as a public-safety technology company with AI- and data-driven products for law enforcement, civic leadership and security professionals. It said it is trusted by more than 300 customers and has worked with about 2,100 agencies. The company’s advisers on the deal are Tidal Partners, Cooley LLP and Joele Frank, while Kirkland & Ellis LLP advises Transom.
How does the tender offer and CVR work?
The proposed acquisition uses a two-part structure. First, Transom will launch a tender offer for SoundThinking shares. If the tender offer succeeds, Transom will then acquire any remaining untendered shares in a second-step merger on the same consideration. SoundThinking said the second step would be completed under Delaware General Corporation Law Section 251(h), with SoundThinking surviving as a wholly owned subsidiary of Parent.
The contingent value right is tied to qualifying fiscal 2027 revenue milestones. According to SoundThinking, the CVR increases by $0.05 per share for each $0.5 million of qualifying revenue above $73.5 million through $75.5 million, and then by $0.05 per share for each $0.25 million above $75.5 million through $87 million. A filing summarized the proposed offer as $8.00 per share plus a contingent value right of up to $3.00 tied to specified milestones, with the offer expected to remain open for 20 business days subject to extension.
SoundThinking said the transaction was unanimously approved by its board. Its SEC materials also said the tender offer had not yet commenced as of the preliminary communications filing, and another filing said Transom must commence the offer no later than 15 business days after September 28, 2026.
What happens next in the deal process?
The next step is the launch of Transom’s tender offer, followed by the second-step merger if enough shares are tendered. SoundThinking said the transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including completion of the tender offer.
One large holder has already disclosed support. Veradace said it directly held 2,089,805 SoundThinking shares, or 15.8% of the company, and agreed to tender its shares, not withdraw them, vote against competing takeover proposals and not transfer the shares, subject to exceptions. Veradace also said the Lauder stockholders beneficially own about 17.0% of SoundThinking and agreed to tender, support and reinvest. The filing said the reporting persons, Transom Capital and the Lauder stockholders may collectively be deemed a group owning 4,498,634 shares, or about 34% of SoundThinking.
What other late-September acquisition announcements were reported?
Other acquisition announcements reported in late September included Capitolis’s agreed purchase of eSecLending for $200 million in cash, AMD’s reported all-stock acquisition of Fei-Fei Li’s World Labs at an $8.2 billion valuation, Salesforce’s reported definitive agreement to buy Listen Labs for $2 billion, and Replit’s reported acquisition of Egypt’s AI analytics startup Atta.
Those announcements came from separate companies and sectors, but they show that late September brought a string of M&A headlines across fintech, AI and enterprise software. In SoundThinking’s case, the company is moving toward a private-company ownership structure if the transaction clears the remaining regulatory and closing steps.
