What did Shield AI announce on Nov. 5?
Shield AI said on Nov. 5, 2026 that it entered into a definitive agreement to acquire Echodyne in a transaction valued at up to $5.3 billion. The company also said it is lining up $2.5 billion in financing, with proceeds intended principally to fund the acquisition.
The transaction is not yet complete. Shield AI said the deal is expected to close in early 2027, subject to regulatory approvals and other customary closing conditions.
What are the deal terms and financing structure?
Shield AI said the acquisition consideration includes $4.8 billion payable or issuable at closing and up to an additional $500 million contingent on Echodyne meeting agreed performance targets. That makes the headline value conditional, not guaranteed.
To support the acquisition, Shield AI said it is raising $2.5 billion through three parts: a $1 billion Series H at a $28.8 billion post-money valuation, $1 billion of structured equity from Blackstone-managed funds, and $500 million of debt financing led by JPMorgan Chase as sole arranger. Bloomberg reported that the planned $28.8 billion valuation would be more than double the $12.7 billion valuation Shield AI reached in March 2026.
Shield AI said the financing is intended principally to fund the acquisition, and contemporaneous reporting said the financing would not proceed if the acquisition failed. Bloomberg reported that the package could lift Shield AI’s value to $28.8 billion.
Why does Echodyne matter to Shield AI?
Shield AI said the acquisition expands its Mission Systems business with software-defined radars for counter-unmanned aircraft systems. Echodyne designs and manufactures compact solid-state radars using its patented MESA technology, and Shield AI said those radars help detect, track and defeat drones.
Shield AI said Echodyne’s radar systems are already embedded in hundreds of counter-drone and security systems used in more than 40 countries. The company also said civilian operators use Echodyne radars to protect stadiums and airports from unauthorized drones and to let police and fire departments fly drones safely in shared airspace.
Janes reported that Echodyne’s software-defined radar technology, engineering expertise and manufacturing capacity would be added to Shield AI’s Mission Systems business. The defense company describes itself as operating three units: autonomy software, autonomous systems and mission systems.
What changes for Echodyne after closing?
Shield AI said Echodyne will continue selling radar systems to integrators and end customers in defense, government and commercial markets after closing. The company also said Echodyne’s team will remain in place and its MESA radars will continue to be sold as standalone products.
Shield AI said Echodyne CEO Eben Frankenberg will report directly to Shield AI CEO Gary Steele and remain responsible for products, manufacturing, and partner and customer engagement. Breaking Defense reported that Echodyne would operate as a business unit within Shield AI’s Mission Systems business.
Shield AI said Echodyne recently opened an 86,350-square-foot manufacturing facility in Kirkland, Washington, a $40 million investment with capacity to produce about 30,000 radars per year. The company also said it named Washington as the production home for X-BAT in September.
Echodyne was spun out of Intellectual Ventures in 2014 with a $15 million round led by Bill Gates and Madrona, according to GeekWire. The same report said the company has raised about $200 million in total, was valued at $485 million after its last priced round in 2022, and now has about 400 employees. GeekWire also reported that the combined company will have about 2,700 employees and that no layoffs are planned.
Shield AI said the Series H round is co-led by Disruptive and Innovation X Capital, with participation from Advent, JPMorganChase’s Strategic Investment Group, Snowpoint Ventures, Apandion, Center15 Capital and others. The company said both companies expect triple-digit revenue growth this fiscal year.
