Grindr said on Sept. 30, 2026, that it has agreed to acquire PurposeMed for $250 million upfront plus up to $70 million in earnouts, in a deal that would bring the telehealth provider’s Freddie service into the Grindr app.

What has Grindr agreed to pay for PurposeMed?

Grindr said on Sept. 30, 2026, that it has agreed to acquire PurposeMed for $250 million upfront, with up to $70 million more tied to performance-based earnouts, in a move that would bring the telehealth company’s Freddie service into the Grindr app. The company said it expects the acquisition to close in the fourth quarter of 2026, subject to closing conditions, according to CNBC and HLTH.

HLTH described the transaction as Grindr’s first major acquisition since the company was founded in 2009. Grindr also said it plans to create Grindr Health as a dedicated commercial healthcare division after the acquisition closes.

What do PurposeMed and Freddie do?

PurposeMed’s Freddie business focuses on virtual sexual healthcare, centered on HIV pre-exposure prophylaxis, or PrEP. HLTH said Freddie was founded in Canada in 2020 and launched in the United States in 2024. The company now provides coverage in all 50 U.S. states, Washington, D.C., and Canada.

The service has served more than 55,000 patients in the U.S. and Canada, according to Grindr and HLTH reporting. HLTH described Freddie’s infrastructure as including consultations, lab testing and routing, benefits verification, copay assistance, e-prescription fulfillment, and home delivery. CNBC separately reported that Freddie provides telehealth services, testing, prescriptions and medication delivery.

How would Grindr integrate PurposeMed’s services?

Grindr said the acquired services will be integrated into the Grindr app. Under the company’s planned model, users would be able to learn about PrEP, review coverage, connect with clinicians, arrange testing, get prescriptions and manage refills on-platform. HLTH described a similar intended workflow through Grindr’s digital ecosystem, including PrEP education, insurance verification, clinician access, testing coordination and medication-refill management.

Grindr estimates about 400,000 U.S. users currently indicate on their profiles that they take PrEP, and says more than two million additional U.S. users could benefit from PrEP. HLTH said about 650,000 of an estimated 2.2 million Americans who could clinically benefit from PrEP currently receive it, and that PrEP can reduce the risk of sexually acquired HIV by about 99% when taken as prescribed.

How is the deal structured and why did Grindr choose to buy?

The acquisition includes a two-part structure: a $250 million upfront payment and as much as $70 million in earnouts. HLTH reported the earnout is tied to fiscal 2027 targets and would be payable in 2028. That means part of the headline consideration remains contingent on the business meeting those future goals.

Grindr expects the combined U.S. telehealth and pharmacy business to generate more than $400 in monthly revenue per active patient, CNBC reported. At a scale of 50,000 U.S. patients, Grindr estimates the business could produce about $240 million in annual revenue. PurposeMed expects full-year 2026 revenue of more than $80 million and adjusted EBITDA above $10 million, according to HLTH.

Grindr said the acquisition should contribute immediately to total adjusted EBITDA dollars, while also requiring infrastructure investment for nationwide scaling that is expected to temporarily reduce adjusted EBITDA margin percentage.

CEO George Arison told CNBC that Grindr could have built the healthcare offering itself, but buying PurposeMed avoids a two-to-three-year buildout. He said a healthcare operation of this kind requires pharmacies and clinicians to fulfill care. CNBC also said the deal builds on Woodwork, Grindr’s telehealth service launched in 2025.

HLTH said Grindr has set a goal of connecting 10 million LGBTQ+ people with HIV prevention services by 2028. With the planned acquisition, the company is betting that folding an established telehealth operation into its app can help it reach more users faster than building the same infrastructure from scratch.
