Locafy said on October 6, 2026 that it has signed a definitive agreement to acquire the assets and customer base of Map Labs, a U.S.-based maps marketing software and services business, for total potential cash consideration of up to US$3.0 million. The company said the transaction is expected to expand its U.S. customer base and materially lift revenue and operating profitability if it closes.
Locafy said on October 6, 2026 that it has agreed to acquire the assets and customer base of Map Labs in a deal worth up to US$3.0 million, with closing targeted on or before December 31, 2026. The definitive agreement would give Locafy control of Map Labs’ software, customer relationships and related business assets if customary closing conditions are met.
The company said the transaction is intended to materially increase revenue and operating profitability while accelerating its U.S. growth strategy. Locafy described itself as a global SaaS company focused on location-based Search Engine Optimization and Answer Engine Optimization, and said the acquisition combines Map Labs’ U.S. multi-location customer base and maps marketing capabilities with its own SEO, citation, automation and AI-powered website technologies.
What is Locafy buying from Map Labs?
Locafy is buying the operating business and assets of Map Labs, including technology, software, intellectual property, customer contracts and customer relationships. The asset package also includes the Map Labs technology platform, source code, domain names, documentation, hardware, branding assets, customer subscriptions and recurring revenue arrangements to the extent they are assignable.
The deed attached to Locafy’s filing names Map Labs, LLC and Map Labs Licensing, LLC as sellers and Locafy Limited as buyer. It is dated October 1, 2026 and says the seller operates the business and agreed to sell both the business and the business assets to Locafy. The sellers are based in West Palm Beach, Florida.
Map Labs markets software built for Google and Apple Maps and says it helps multi-location businesses improve visibility and customer acquisition across Google Search, Google Maps and Apple Maps. Its tools include Google Business Profile management, Local Pack optimization, Maps advertising, listing management, bulk profile management, performance reporting and location-level marketing strategy. The company also says its software measures phone calls, direction requests, website visits, bookings, menu views and orders.
Why does Locafy expect the deal to help growth?
Locafy said Map Labs is expected to generate about US$2.0 million in annual recurring revenue and about US$900,000 in EBIT during calendar year 2026. On that basis, Locafy said the business implies an approximate 45% EBIT margin and a valuation of 2.2x EBIT. The company said Map Labs’ customer base includes more than 10,000 end customers and a Fortune 100 company, which it sees as a source of cross-selling opportunities.
Locafy’s own products include location-based SEO, citations, automation and its Proteus AI website generation platform. After closing, the company said it plans to introduce Map Labs’ Google Business Profile management, Maps marketing and Local Pack capabilities to appropriate Locafy customers, while offering Map Labs customers Locafy’s citation services, Localizer solutions, AEO technologies and Proteus AI website generation platform.
Locafy COO Jason Jackson said the first priority after closing is a seamless transition for Map Labs customers. He also said Locafy plans to apply its automation and scalable delivery systems to Map Labs’ service model to reduce manual processes, increase capacity and improve operating leverage. CMO Liz Willits said the company views cross-selling into the Map Labs customer base as a way to grow revenue from existing customers without relying only on new customer acquisition.
How will the deal be funded and what are the contingencies?
Locafy said the consideration is structured as US$2.0 million payable at settlement, with two potential US$500,000 contingent payments tied to future revenue targets. The company said it intends to fund the upfront consideration primarily through a debt facility, and said no Locafy securities will be issued as acquisition consideration.
The contingent payments are tied to revenue targets of US$3.8515 million for 2027 and US$4.7605 million for 2028, according to the filing. If revenue reaches 90% to 100% of target in a given year, the earnout pays pro rata; below 90% of target, there is no payment. The filing also says revenue used for the earnout can include certain Locafy products sold to former Map Labs customers, subject to the deed’s allocation rules.
The transaction is not yet closed. Completion remains subject to Locafy board approval and the absence of a material adverse change, including a reduction in business asset value or business financial performance by more than $200,000. Locafy said it expects to begin integrating the acquired operations immediately after closing, and during an initial 90-day transition period it plans to introduce automation technologies into selected Map Labs workflows to reduce manual processes and improve service delivery and operating efficiency.
The sellers will provide three months of transition and handover assistance after settlement at no cost to Locafy. If Locafy’s board does not approve the deal and it gives written notice that it will not proceed, the company must reimburse documented seller transaction costs up to US$100,000.
